We advised on the purchase of a 12-branch pharmacy group in Wales for in excess of £6 million.

Two-Site Acquisition from Major Chain, Lancashire & Yorkshire (£3m+ with management agreements)

Supported the buyer on the acquisition of two pharmacies from a national operator for in excess of £3 million.

We drafted transitional pharmacy management agreements pending NHS contract transfer, oversaw regulatory and employment steps and coordinated property and finance workstreams for a smooth handover.

Represented the seller on the disposal of a pharmacy in Exeter for in excess of £1 million. Our team prepared the disclosure letter and bundle, negotiated warranties, indemnities and restrictive covenants, and managed TUPE and landlord interactions to de-risk completion and protect the seller’s position.

Advised a pharmacy owner on a circa £2 million refinancing. We negotiated facility and security documents including debenture, legal mortgage, fixed charges and personal guarantees, and handled inter-creditor and subordination arrangements. All conditions precedent were satisfied on time, unlocking funds for growth.
